*Note: A Confidential Private Offering Memorandum (“CPOM”) is the document that offers the sale of Units for a specific project to a relatively small number of investors. Those investors have been pre-screened as Accredited or Non- Accredited (as defined by the SEC Rule 501 under Regulation D) and have pre-registered with PCI/PCM as a "Potential Investor". Private placements such as PCI’s CPOM are subject to the Securities Act of 1933. Due to the fact that PCI’s CPOMs conform to an exemption from registrations as set forth in the Securities Act of 1933 and SEC rules under the Rules know as Regulation D, the securities offered do not have to be registered with the Securities and Exchange Commission. Although the exemption doesn’t (yet) mandate PCI to offer detailed financial information through a prospectus that details a pro forma, etc… PCI has chosen a much more rigorous process which mirrors those of public offering requirements. PCI’s business processes, investor selection/ vetting processes, use of Yardi investment management software, choice to use an SEC legal counsel for the generation of each CPOM, and affiliation with Richfield Orion International as its Broker/Dealer to oversee CPOM distribution and form/capital collection provides strong controls in support of the Company’s efforts to comply with applicable federal securities laws. |
