Who is PCI LLC?

Physicians Capital Investments (PCI), LLC is a Nevada limited company. PCI, formed on October 24, 2007, has over 100 years of combined medical construction and clinical care experience.

PCI fosters long-lasting partnerships with physicians, their employees, and healthcare service providers by creating investment opportunities that allow physicians and employees to share in the ownership (whole/fractional) of their facilities and generate new revenue streams while limiting personal liability. Our multi-disciplinary approach to the development and financing of facilities is unique in the industry.

Why Invest with Physicians’ Capital Investments?
While all investments involve risk, PCI offers opportunities that may minimize the risks of other traditional investment opportunities.

Our model is that instead of the physician buying the individual building he buys a portion of the Limited Partnership (LP). Each project is “preleased” for a period of 10 to 15 years prior to construction. The leases are triple NET which means that the tenant is responsible for all of the facility expenses. As of today, all tenants have been “credit” tenants, which allow us to negotiate non-recourse financing for the mortgages even in today’s economy. This model helps assure a strong financial and business investment opportunity while maximizing the return for our investors.



How can I invest?
Once the project is under construction PCI underwrites a new security offering via a Confidential Private Offering Memorandum (“CPOM”) for the project. The CPOM includes all project specific information (i.e. … the cost of each limited partnership unit, the projected investment return, etc...).

Each CPOM is comprised of Four (4) offering rounds:

Round 1 — The first opportunity to purchase limited partnership units in the CPOM is made to the physicians and the members of the practice that will be working in the particular facility;

Round 2 — Investors in PCI LLC;

Round 3 — The CPOM goes to the pre-existing investors in PCI (If you have an interest in investing in PCI let me know);

Round 4 — The CPOM goes to the non-affiliated Medical Community Members. This list is based on a list that we have generated.

What is the minimum number of units that I can purchase via CPOM for a particular LP?
The minimum number of unit(s) that one must purchase in order to be accepted into an LP is 1 (one) unit.



Can I purchase multiple units within 1 (one) particular Limited Partnership?
Yes, you may request to purchase as many LP units as are available for purchase at the time of your purchase. Please note that at times, we may not be able to provide you with your requested amount due to over subscription. If PCI LLC is not able to provide you with your requested amount of units, you will be notified prior to the acceptance of your Subscription Agreement. Note: PCI LLC is under no obligation to provide you with the requested amount of units or accept your Subscription Agreement.



Can I invest in multiple Limited Partner Properties?
Yes, you have a right to review and decide which Limited Partnerships which you would like to participate in. In general, income distribution is governed by its specific CPOM (Confidential Private Offering Memorandum) of each Limited Partnership (LP). Please refer to the table in the CPOM that you receive to confirm distribution income.

Can I change my mind after I receive a CPOM?
Yes, if after reviewing the CPOM you chose not to subscribe you simply need to return all materials to PCI LLC. Please contact Leete Jackson immediately at (214) 686-8316 or ljackson@physcap.com .



Can I change my mind after I sign a CPOM?
Yes, prior to PCI LLC “accepting “ your signed subscription agreement, you may request that your Subscription Agreement be made null and void.

No, once PCI LLC has “accepted” your signed subscription agreement, you may not request that your Subscription be made null and void.

Can I sell or transfer my unit(s)?
Although there are “General Restrictions” to the sell or transfer of one’s unit(s), there are provisions that allow for a Partner within a specific LP to sell or transfer his unit(s) to the LP’s Partnership or Partner. For additional permissions and restrictions, please refer to Article XII of the CPOM in question.

How do I notify changes of personal details?

Can I expect to receive quarterly statements?
Yes, you can expect to receive your quarterly statements in additional to 1 (one) yearly statement.
